Disclosure Policy

1. Basic Policy

Japan Petroleum Exploration Co., Ltd. (JAPEX) stipulates the disclosure policy regarding the disclosure of the material information in accordance with applicable laws and ordinances including the Company Act, the Financial Instruments and Exchange Act of Japan, and the Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities (the Timely Disclosure Rules) by Tokyo Stock Exchange (TSE) to all stakeholders including shareholders and investors, aiming to foster their understanding of our business strategy and outline, and to build trustable relationship with them.

Based on the basic policy, JAPEX is committed to disclosing the material information such as corporate decisions, occurrences of material facts, or financial information that has a significant effect on investment decisions in a timely, appropriate and fair manner. JAPEX also discloses the information which is not applicable in accordance with related laws and rules of disclosure but contributory to make their understanding of our business, in a prompt and fair manner.

2. Disclosure Method

JAPEX discloses the material information through the Timely Disclosure network (TDnet) provided by the TSE in accordance with the Timely Disclosure Rules. JAPEX also provides the same material information on the JAPEX website promptly after the disclosure on TDnet.

In addition, JAPEX is committed to voluntary disclosure of the information not applicable to the Timely Disclosure Rules, on the JAPEX website or other ways in a prompt and fair manner.

3. Quiet Period

In order to prevent information leaks and to maintain fairness of the disclosure, a month prior to the announcement of financial results is deemed as the “quiet period.” During the quiet period, JAPEX refrains from making comments on and answers to inquiries related to the financial information. However, if any material fact which is necessary to disclose under the Timely Disclosure Rules occurs during the quiet period, JAPEX discloses the material information in accordance with the Timely Disclosure Rules.

4. Future Prospects

Our disclosure contains future prospects such as plans, forecasts, strategies, and others which are not historical fact and these are made by the management’s judgement based on the obtainable information at the time of the disclosure. Actual results may significantly differ from those future prospects due to various factors.
